OfferGrad Terms of Service
Product answer-controls update 16 October 2026; the historical authorisation evidence is retained.
1. About these Terms
1.1 These Terms of Service ("Terms") govern your use of OfferGrad, including the website at offergrad.com, the OfferGrad web application, the OfferGrad Chrome extension and any OfferGrad connector for third-party AI assistants (together, the "Service"). The Service is provided by Zeyu Chen (ABN 30 801 375 193), trading as OfferGrad ("OfferGrad", "we", "us" or "our").
1.2 By creating an account, installing the extension or using the Service, you agree to these Terms and acknowledge our Privacy Policy. Features that act on your behalf also require the separate authorisations described in clause 6.
1.3 You must be at least 18 years old to use the Service.
1.4 Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded (see clause 20).
2. Key terms
- Application — a job application prepared, filled or submitted through the Service.
- Authorisation — the L1 or L2 authorisation you grant under clause 6. Each Authorisation has a version number.
- Autopilot — the feature that finds roles and prepares applications after you press Start.
- Connected AI Assistant — a third-party AI assistant (for example ChatGPT, Claude or another assistant) that you choose to connect to your OfferGrad account through a Connector.
- Connector — the OfferGrad interface (including any Model Context Protocol server) that lets a Connected AI Assistant use features of your account within the permissions you approve.
- Employer Platform — an employer's careers website or applicant tracking system (such as Greenhouse, Lever or Ashby), or a job board.
- Legal-identity question — a question about your work rights, visa, sponsorship needs, citizenship, permanent residency, or sanctions or export-control status.
- Potential Match — a label we give to a role that meets your basic criteria but scores below our usual fit threshold.
- Profile Facts — information you give us about yourself, including your resume and questionnaire answers.
- Your Content — your resume, Profile Facts, answers, documents and other material you provide, and material we generate for you.
3. The Service
3.1 Depending on the features you enable, the Service may: (a) find roles on Employer Platforms that match your preferences; (b) assess how well each role fits your profile; (c) prepare answers, cover letters and other application materials from your Profile Facts; (d) fill application forms in your browser; (e) submit applications if you have granted L2; (f) show the status of your applications and tasks that need your attention; and (g) let a Connected AI Assistant use some of these features at your request.
3.2 OfferGrad is a software tool. We are not your employer, a recruitment or employment agency, a registered migration agent or a law firm, and we do not make hiring decisions.
3.3 Some features are labelled "beta". Beta features may change or be withdrawn, and may be less reliable than other features. If you join a closed beta, we may contact you for feedback about your experience.
3.4 We do not promise that any role will remain open, that an employer will receive or consider an Application, or that you will obtain an interview, a job offer or visa sponsorship.
4. Your account
4.1 You must give us accurate, current and complete information, keep your login details secure, and tell us promptly if you think someone else has accessed your account.
4.2 Each account is for one person. You must not create an account for someone else, share your account, or use the Service to apply for jobs in another person's name.
5. Your Profile Facts and truthful applications
5.1 You are responsible for making sure your Profile Facts are true, complete and up to date, and for correcting them promptly if anything changes (for example, when your visa or work rights change).
5.2 We design the Service not to invent experience, qualifications or licences, or contradict information you supply. Legal-identity answers use recorded facts or disclosed conservative rule defaults. The selected answer is checked for contradiction with explicit information you supplied. Missing source or proof metadata does not by itself prevent a conservative truthful answer. These checks are not independent legal review or a certificate of legal or immigration eligibility. Expanded missing-value legal rules require the accurate current L1 authorisation; an older real-user grant is not silently expanded.
5.3 Where an employer asks an optional question about gender, ethnicity, sexual orientation, disability, veteran status or similar matters, the Service will choose "prefer not to say" or an equivalent option where one is offered. If no such option exists and an answer is required, the Service will pause the Application and ask you.
5.4 Default answers. Your profile and resume take priority. Where applicable information is missing, disclosed conservative rules may answer: sponsorship required; no undeclared permission, citizenship or permanent residency for a known country; prefer not to say for voluntary statistics; a truthful No or lowest skill/employment option; Negotiable salary text or a stated job minimum with supported units; and short neutral ordinary text. Sources are marked OWNER_RULE_DEFAULT or generated content, not verified facts you supplied. We do not invent experience, qualifications or licences. Before starting a fill, read these rules and add or correct information in your profile and Answer Library. Supplied or uncertain records are not overwritten with defaults. Unsupported options, missing documents, logins, security challenges or video tasks may still need you. Ordinary defaults can be switched off in Settings. Legal missing-value rules are described in the current L1 text; submission still requires the separate L2 permission.
5.5 Employer forms often include statements such as "I confirm that the information in this application is true and complete". By granting L1 you authorise the Service to tick these routine statements for you, relying on your confirmation that your Profile Facts are true. You remain responsible for the truth of the information submitted.
5.6 If an employer asks whether you used AI tools in preparing your Application, the Service will not state that no AI assistance was used.
6. Authorisations
6.1 L1 — Prepare and fill. L1 authorises the Service to read job descriptions and application forms on supported Employer Platforms, prepare answers and materials from your Profile Facts, and fill application forms in your browser. L1 does not authorise submission.
6.2 L2 — Submit. In addition to L1, L2 authorises the Service to submit Applications on your behalf within your saved preferences and limits. Unless you separately switch on automatic submission, the Service will ask you to confirm each Application before it is submitted. If you switch on automatic submission, the Service will submit Applications without asking you each time.
6.3 We record the version of each Authorisation you grant, the time you granted it and technical details (such as IP address and browser type) as evidence of your instructions. If we change the scope of an Authorisation, we will ask you to accept the new version before the changed scope applies to you.
6.4 No Authorisation permits the Service to: (a) provide information that it knows to be false; (b) answer a Legal-identity question inconsistently with your recorded facts; (c) complete a CAPTCHA, login, identity verification, criminal-history, medical, drug-testing, credit or other background-screening step; (d) accept any contract other than an Employer Platform's routine application terms; or (e) make a payment on your behalf.
6.5 You may withdraw L1 or L2, or switch off automatic submission, at any time in Settings. Withdrawal stops pending actions that rely on that Authorisation. It cannot recall an Application that has already been submitted or information already disclosed to an employer or Employer Platform.
7. How Autopilot works
7.1 When you press Start, Autopilot searches our index of roles published on Employer Platforms, compares them with your preferences and Profile Facts, and queues roles for preparation. It continues each day, within your daily limit, until you pause or stop it or your Authorisation ends.
7.2 Matching. We rank roles using automated tools, including AI models. To give you more opportunities, Autopilot may include roles that meet your basic criteria but score lower on fit. These are labelled "Potential Match" in your dashboard. You can exclude Potential Match roles, and particular employers, locations or role types, in Settings.
7.3 Exclusions. Autopilot does not apply for roles that expressly require Australian citizenship or permanent residency (unless you hold it), a security clearance, or a professional licence or registration that you have not recorded.
7.4 Limits. To protect you, employers and Employer Platforms, we apply daily application limits, limits on applications to the same employer, and pauses when an Employer Platform changes or shows errors. Current limits are shown in the Service.
7.5 Tasks only you can do. Autopilot pauses an Application and notifies you when it needs you — for example for a CAPTCHA, login, identity check, a question it cannot answer truthfully, or a document you have not provided. Other Applications continue.
7.6 Your browser. Form filling is performed by the OfferGrad extension in your own Chrome browser. Autopilot can only fill forms while your computer is on, Chrome is open and the extension is connected.
8. Submission
8.1 An Application is submitted only if you have granted L2 and, unless automatic submission is on, you have confirmed that Application.
8.2 After submission, the employer and Employer Platform handle your information under their own terms and privacy policies. Submitted Applications generally cannot be changed or withdrawn through OfferGrad; you may need to contact the employer directly.
8.3 We try to detect whether each submission succeeded (for example from a confirmation page). If the outcome is unclear, the Service will not submit the Application again automatically; it will ask you.
9. The OfferGrad Chrome extension
9.1 The extension works only on OfferGrad's own website and on the supported Employer Platform domains listed in its Chrome Web Store listing. On those pages it reads and fills application forms. It does not read your browsing history or other websites.
9.2 You must keep the extension up to date. We may require you to update it before Autopilot continues.
9.3 You may use the extension only in your own browser profile and only for your own Applications.
10. Connected AI Assistants
10.1 Choosing to connect. You may connect a Connected AI Assistant to your OfferGrad account through a Connector. Connecting is optional. You choose the assistant and approve the permissions it receives on an OfferGrad consent screen. You can see, change and revoke each connection in Settings at any time.
10.2 What a Connected AI Assistant can do. Depending on the permissions you approve, a Connected AI Assistant may: (a) view your Applications, reports and pending tasks; (b) view and update your job preferences and exclusions; (c) answer pending questions that are not Legal-identity questions, using information you give it; (d) start or pause Autopilot, if you already hold a current L1 Authorisation; and (e) request suggested answers for an application form that the assistant is completing itself. The available permissions are listed in Settings and on the connection screen.
10.3 Actions that always need you in OfferGrad. A Connected AI Assistant cannot, without your confirmation directly in OfferGrad: (a) change your Legal-identity facts or answer a Legal-identity question; (b) grant, upgrade or change an Authorisation, including enabling submission or automatic submission; (c) submit an Application; (d) change payment or subscription settings; (e) export or delete your account data; or (f) connect another assistant.
10.4 Your instructions. We treat requests we receive from a Connected AI Assistant through your connection as instructions from you, within the permissions you approved. You are responsible for the instructions you give the assistant and for how you configure it, including any rules, schedules or automatic actions you set up in the assistant. We may refuse a request, or ask you to confirm it in OfferGrad, if it is unclear, outside the approved permissions, inconsistent with your Profile Facts or these Terms, or appears unsafe.
10.5 Instructions in third-party content. The Service does not follow instructions contained in job advertisements, application forms, emails or other third-party content, whether that content reaches us directly or through a Connected AI Assistant.
10.6 Forms completed by an assistant. If a Connected AI Assistant fills or submits an application form using its own browser or tools, the assistant — not OfferGrad — performs those actions. Our role is limited to supplying suggested answers under the same rules as clause 5. You should check what the assistant does; the assistant provider's terms govern its conduct.
10.7 Third-party terms and privacy. Each Connected AI Assistant is provided by a third party (for example OpenAI or Anthropic) under its own terms and privacy policy. Information we send to the assistant at your request will be received, stored and used by that provider in accordance with its own terms and settings, which may include keeping it in your conversation history. The provider may be located outside Australia. We do not control, and subject to clause 20 are not responsible for, what the provider does with that information.
10.8 Availability. Connectors depend on third-party platforms that may change, restrict or withdraw them. We may suspend a Connector, or limit how often it can be used, to protect your account or the Service.
10.9 Purchases. You cannot buy or change an OfferGrad subscription through a Connected AI Assistant. Purchases are made on the OfferGrad website.
10.10 Records. We keep a log of requests made through each connection (time, assistant, action requested and outcome). You can view this log in Settings.
11. AI-generated content
11.1 The Service uses AI models to assess roles, prepare answers, and write cover letters and other materials. AI output can be inaccurate or incomplete. We apply controls to keep outputs consistent with your Profile Facts, but we cannot guarantee that every output is correct or suits every employer.
11.2 You can review prepared answers and materials in your dashboard. Where confirmation mode applies, please review an Application before you confirm it.
11.3 We do not guarantee how any employer's screening tools, including tools that attempt to detect AI-generated text, will treat an Application.
12. Work rights and migration information
12.1 The Service may show a role's stated work-rights or sponsorship requirements and uses your recorded visa facts to answer application questions. This is general factual information and administrative assistance with your own applications. It is not immigration assistance, migration advice or legal advice, and it is not a determination of your eligibility for any visa or role.
12.2 You should check your own visa conditions (for example through VEVO) and obtain advice from a registered migration agent or lawyer if you need it.
13. Employer Platforms and employers
13.1 Employers and Employer Platforms are independent third parties. Their terms and privacy policies apply to your use of their sites and to Applications you submit. We are not affiliated with or endorsed by them unless we say so.
13.2 We interact with Employer Platforms only for your own Applications and aim to respect their technical limits. We may stop supporting an Employer Platform or employer at any time, for example if its terms or technology change.
13.3 You are responsible for complying with any employer or Employer Platform requirement that applies to you personally, such as a rule limiting multiple applications for the same role.
14. Acceptable use
You must not, and must not use the Service or a Connected AI Assistant to:
- provide false or misleading information to us or to an employer;
- apply for jobs for anyone other than yourself, or apply for roles you would not genuinely consider;
- bypass or attempt to bypass our limits, or any CAPTCHA, access control or security measure of an Employer Platform;
- copy, scrape or overload any website, or reverse engineer or interfere with the Service;
- use the Service unlawfully, to harass or discriminate against anyone, or to infringe anyone's rights; or
- use a Connected AI Assistant to do anything these Terms do not allow you to do directly.
15. Your Content
15.1 You keep ownership of Your Content. You grant us a non-exclusive, royalty-free licence to host, copy, adapt, transmit and display Your Content only as needed to provide, secure and support the Service, to comply with law, and to improve the Service using de-identified or aggregated information.
15.2 We do not use Your Content to train general-purpose AI models, and we select settings with our AI model providers so that they do not use it for training, where their services allow.
15.3 This licence ends when Your Content is deleted, except for backups and records that we must keep by law or to evidence your Authorisations, which we keep for the periods set out in our Privacy Policy.
16. Our intellectual property
16.1 We (or our licensors) own the Service, including its software, design, job index and documentation. We grant you a personal, non-transferable, revocable licence to use the Service in accordance with these Terms.
17. Fees, subscriptions and refunds
17.1 The Service is currently provided free of charge during the beta. We will tell you before we introduce any charge, and you will not be charged unless you choose a paid plan.
17.2 Before you pay, we will show you clearly the total price (including GST and any other charges), what is included, the billing period, whether and when the plan renews, and how to cancel.
17.3 A plan renews automatically only if the checkout says so and you agree. It then renews at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can cancel online in Settings at any time; cancellation stops future renewals.
17.4 Except where the law requires otherwise, including under the Australian Consumer Law, fees are not refundable. This includes fees for applications that have already been submitted.
18. Changes to the Service
18.1 We may change the Service, including by adding, changing or removing features. If a change will materially reduce a paid feature, we will tell you in advance where practicable.
19. Suspension and termination
19.1 You may stop using the Service and close your account at any time in Settings.
19.2 We may suspend or restrict your account, a feature or a Connector if we reasonably believe it is necessary to investigate or prevent fraud, misuse, unlawful conduct, a security risk or harm to another person or system, or a serious or repeated breach of these Terms. Where practicable we will tell you why and how to contact us.
19.3 On closure or termination we stop Autopilot, revoke Connected AI Assistant access, and handle your information as described in our Privacy Policy. Clauses that by their nature should continue (including clauses 15.3, 20 and 25) survive.
20. Australian Consumer Law and our liability
20.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
20.2 Subject to clause 20.1 and to the extent permitted by law: (a) we are not liable for loss caused by employers, Employer Platforms, Connected AI Assistants or other third parties, or by Profile Facts you provided being inaccurate; (b) we are not liable for indirect or consequential loss; and (c) our total liability for any claim that is not a claim under a consumer guarantee is limited to the greater of AUD 100 and the fees you paid us in the 6 months before the event giving rise to the claim.
20.3 Nothing in these Terms limits our liability for fraud, for our breach of the Privacy Act 1988 (Cth), or for death or personal injury caused by our negligence.
21. Privacy
21.1 Our Privacy Policy explains how we collect, use, disclose and protect your personal information, including through the extension and Connected AI Assistants.
22. Complaints
22.1 If you have a complaint, contact us at hello@offergrad.com. We will try to resolve it within a reasonable time.
22.2 If you are not satisfied, you may contact Consumer Affairs Victoria or the consumer protection agency in your State or Territory, or, for privacy complaints, the Office of the Australian Information Commissioner.
23. Changes to these Terms
23.1 We may update these Terms. We will give you at least 14 days' notice by email or in the Service before a material change takes effect, unless a shorter period is needed for security or legal reasons. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, you may stop using the Service and close your account.
23.2 Changes to the scope of an Authorisation take effect for you only when you accept the new version (clause 6.3).
24. Electronic communications
24.1 You agree that we may give you notices, and you may give us consents and Authorisations, electronically.
25. General
25.1 These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts and tribunals of Victoria and courts that may hear appeals from them.
25.2 We may provide translations of these Terms. If there is an inconsistency, the English version prevails.
25.3 If any provision of these Terms is invalid or unenforceable, it is read down or severed to the extent necessary, and the rest of these Terms continue to apply.
25.4 We may transfer our rights and obligations under these Terms to a successor to our business, provided your rights are not reduced; we will notify you if we do. You may not transfer your account.
25.5 A failure or delay in exercising a right is not a waiver of it.
